David S. Dunn

Shareholder

David is a transactional lawyer in the firm’s Business Department. His practice includes mergers and acquisitions, private equity transactions, contract preparation and negotiation, entity structuring, joint ventures and the provision of general business and governance advice.

David represents public and private companies in a variety of business transactions. His clients include logistics companies, motor vehicle dealers, banks, agricultural businesses, private equity funds and other investors, hospitals, physicians and other health care providers, management companies, tax exempt institutions, emerging businesses, professional groups and individuals. He also has extensive experience in the resolution of business disputes without litigation and in preparing for sales and other significant transactions.

Representative Matters

  • Represented a distributor of safety products in connection with the acquisition of the assets of a competitor for a purchase price of approximately $8 million.

  • Represented an automotive dealer in connection with the sale of a dealership for a purchase price exceeding $50 million.

  • Represented a client in connection with the establishment of a $60 million asset-based credit facility.

  • Represented a healthcare provider in connection with the sale of its business for a purchase price in excess of $30 million.

  • Representation of a client in connection with the acquisition of a family of related companies with a purchase price in excess of $38 million.

  • Represented a healthcare provider in connection with its attempt to roll up multiple similar providers and sell them to a private equity buyer.

  • Representation of a client in connection with a $35 million credit facility.
