Amelia H. Henderson
Amelia is a shareholder in the firm’s healthcare and corporate departments. She focuses her practice on healthcare regulatory and transactional law, corporate transactional law, trademark and trusts and estates law.
Amelia assists healthcare and corporate clients with acquisitions and other business transactions, as well as advises healthcare clients on complex and frequently changing healthcare laws. She provides guidance on Stark, anti-kickback and other fraud and abuse laws, physician and other licensed practitioner employer arrangements, noncompetition agreements, and professional compensation.
Amelia works with a variety of corporate entities, advising on corporate and securities related transactions, contract preparation and negotiation, entity structuring, and a wide range of financings, shareholder agreements and other corporate governance matters. Her practice also includes formation and reorganization of business entities, including corporations, limited liability companies, and partnerships.
She counsels professionals, business owners and other individuals in estate planning matters and handles probate matters. She also handles state and federal trademark applications and maintenance and assists clients in obtaining federal copyright registrations.
Amelia is a former president of the Jacksonville Women Lawyers Association. The Jacksonville Business Journal has recognized Amelia as both an ‘Ultimate Attorney’ and ‘40 Under 40.’
An active member of the community, Amelia served on the board of the Northeast Florida Chapter of Women in Insurance and Financial Services (WIFS) and currently serves as chair of the Solutions Committee of the Duval County Medical Society Foundation Food Deserts Coalition.
Represented three clinically integrated networks, including formation of two South Florida clinically integrated networks, each with 200+ physician participants, development of operating agreements for the networks, advising the networks with respect to governance and committee structures, drafting of hospital quality and efficiency program agreements, and assisting on successful applications to the Medicare shared savings program.
Represented a provider of proton therapy cancer treatment in multi-million dollar bond financings, contract negotiations with a national health system in Europe and equipment distributors and manufacturers, and health care regulatory advice.
Represented an academic medical center in connection with Stark, anti-kickback and other regulatory advice.
Represented an ambulatory surgery center in the repurchase of equity interests from a management company, issuance of equity interests to new owners, equity owner relations, contract and regulatory advice, and sale of a majority interest to a hospital system.
Representation of the largest Mack Truck distributor in the United States in the acquisition of a Mack Truck and Isuzu dealership and truck leasing business.
